Terms of service

Effective date: September 26, 2026

These Terms govern use of Case Chat and its related services (the “Service”). “We,” “us,” and “our” mean FIRSTDRAFT LLC, the operator of the Service. “You” means the person using the Service or, where that person is authorized to act for an organization, that organization. Questions about these Terms can be sent to contact@firstdraft.com.

When you accept these Terms, you agree to follow them when using the Service. If you act for an organization, you represent that you have authority to bind it. Do not use the Service if you do not agree to these Terms. These Terms include limitations of liability and disclaimers of warranties; they apply only to the extent the law permits.

Your account and use of the Service

You are responsible for keeping your account credentials secure and for the activity you authorize through your account. Keep the information you provide accurate and do not use another person's account without permission. Let us know at contact@firstdraft.com if you believe your account has been compromised. To the extent permitted by law, we are not responsible for losses caused by your failure to protect your credentials.

You are responsible for the content you submit and for having the rights and permissions needed to use that content in the Service. Your use must comply with applicable law and must not infringe anyone else's rights. Do not use the Service to threaten or harass others, distribute malicious software, gain unauthorized access, interfere with other users, or disrupt the Service. Do not evade an access restriction or continue using an account after we have suspended or terminated your permission to use it.

Creating an account requires an email address at chicagobooth.edu or uchicago.edu, which you must verify before signing in. An administrator may also invite individual collaborators.

AI-generated characters

The people you interview in a case are characters played by AI models from OpenAI or Anthropic, following instructions written by the case's authors. Their replies are generated as you ask, can be wrong or inconsistent, and do not represent the views of any real person or organization, even when a case is based on one. Treat them as material for the exercise, not as fact or advice.

Your messages are sent to the AI provider behind each character, and the instructors on a case's team can read your conversations in that case. The Privacy policy explains both.

Content you provide

You retain your ownership rights in content you submit to the Service. You give us permission to host, store, reproduce, transmit, and display that content as needed to provide the Service to you and to carry out sharing or other actions you request. This permission does not transfer ownership of your content to us. Personal information is also addressed in the Privacy policy.

You must have the rights necessary to give us that permission. If you upload or link case material, that includes the right to share it with your students and to have it processed by the providers named in the Privacy policy. We may refuse or remove content that violates these Terms or applicable law. We are not required to review every submission before it appears. The availability of content in the Service does not mean we endorse it.

Our Service and intellectual property

The Service, its original software, visual design, and branding belong to us or our licensors. Using the Service does not give you ownership of them. Except as permitted by law, an applicable license, or our written permission, you may not copy, modify, distribute, sell, resell, or commercially exploit the Service or its original content. Permission to use the Service does not include permission to use our name or logos in a way that suggests sponsorship or endorsement.

Third-party components remain subject to their own licenses. Nothing in these Terms restricts rights those licenses grant you, rights granted by the policy text's Creative Commons notice below, or uses the law permits without our permission. The policy-text license does not license the application's original code, branding, user content, or other business material.

Suspension, termination, and account closure

To the extent permitted by law, we may suspend or end your access to the Service, remove content, or refuse future access for a violation of these Terms or for another lawful reason. We may act immediately where needed to protect the Service, its users, or others, or to comply with law. Suspension or termination can make your account and content inaccessible. We reserve these rights without promising that we will detect or act on every violation.

You may stop using the Service at any time. The Service has no self-service account closure; to close your account, contact contact@firstdraft.com. Before closing an account, keep any copies of your content that you need and are entitled to retain.

Account closure, removal of content, and deletion from retained systems or backups are different matters. The actual retention and deletion practices must be set out in the Privacy policy.

Changes and availability

We may change, suspend, or discontinue all or part of the Service, including features or access, subject to any notice or other obligation that applicable law or a separate agreement requires. We do not promise to maintain a particular feature or to provide uninterrupted availability. We may impose or change usage limits to protect the Service and other users.

We may revise these Terms. Your account records which version you accepted when you signed up. A change to these Terms cannot take away rights the law does not allow us to take away.

Other services and integrations

If you choose to use a separate service or integration with this Service, including a file that an author links to elsewhere, that provider's terms govern your relationship with it. We do not control third-party services and, to the extent permitted by law, are not responsible for their availability, actions, or omissions. This section does not grant a third party permission to access your account or personal information.

Warranties and service limitations

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted or error-free, or that every defect will be corrected. You are responsible for deciding whether the Service is suitable for your use.

Nothing in these Terms excludes a warranty, guarantee, remedy, or other right that applicable law does not allow us to exclude.

Liability

To the fullest extent permitted by law, we and our licensors will not be liable to you or any third party for direct, indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, goodwill, use, or data, arising out of or relating to the Service or these Terms. This includes loss arising from inability to use the Service, unauthorized access to or alteration of data, and the conduct of others, regardless of the legal theory and even if we have been advised of the possibility of that loss.

This exclusion applies only to liability the law allows us to exclude. Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited.

General terms and contact

If we do not exercise a right under these Terms in one instance, that does not mean we have waived that right. If a provision cannot lawfully be enforced, it will apply only to the extent permitted, and the remaining provisions will continue to apply where the law allows.
